Acceptance of Terms

By accessing and using the website and services of flowprotrixae Ltd ("Company", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. flowprotrixae provides business automation cost savings analysis framework services, consulting, and related professional services to organisations throughout the European Union. Our services include but are not limited to process analysis, automation strategy development, implementation planning, and ongoing optimisation support. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to affected clients.

User Obligations

Users of our services agree to provide accurate, current, and complete information during the engagement process. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. You must not use our services for any unlawful purposes or in any way that could damage, disable, or impair our services.

Professional Services Terms

Our consulting services are provided based on individual service agreements that supplement these general terms. Project scope, deliverables, timelines, and fees are specified in separate engagement letters or contracts. We will perform our services with professional care and competence, but the success of automation initiatives depends on various factors including client cooperation, accurate information provision, and proper implementation of recommendations.

Payment Terms

Payment terms for our services are specified in individual service agreements. Generally, invoices are payable within 30 days of receipt unless otherwise agreed. Late payments may incur interest charges as permitted by applicable law. All fees are exclusive of applicable taxes, which will be added to invoices as required by law. We reserve the right to suspend services for overdue accounts.

Intellectual Property

All intellectual property rights in our methodologies, frameworks, reports, and deliverables remain the property of flowprotrixae unless explicitly transferred in writing. Clients receive a licence to use deliverables for their internal business purposes. Our proprietary analysis frameworks, methodologies, and business processes are confidential and may not be disclosed to third parties without our written consent. Any improvements or modifications to our intellectual property developed during client engagements remain our property.

Confidentiality

We acknowledge that during the course of providing services, we may have access to confidential information about your business operations. We agree to maintain the confidentiality of such information and use it solely for the purpose of providing our services. This obligation survives the termination of our service agreement. Similarly, we expect clients to maintain the confidentiality of our proprietary methodologies and business information.

Limitation of Liability

To the maximum extent permitted by applicable law, flowprotrixae shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless flowprotrixae and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these terms or your use of our services in a manner not authorised by these terms or applicable law.

Governing Law

These terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Republic of Cyprus and the European Union. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Cyprus. This choice of law and jurisdiction is made in accordance with EU regulations and international business law principles.

Termination

Either party may terminate ongoing service agreements with appropriate notice as specified in individual contracts. Upon termination, all outstanding fees become immediately due and payable. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination. We reserve the right to terminate services immediately if there is a material breach of these terms or applicable service agreements.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, pandemic, governmental actions, war, terrorism, or other causes beyond the reasonable control of such party. In such circumstances, the affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact of such events.

Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.

Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes your acceptance of the new terms. Material changes affecting existing service agreements will be communicated directly to affected clients with appropriate notice periods.
